ANTHROPIC PLEDGES 5% OF ITSELF TO THE PUBLIC

ANTHROPIC PLEDGES 5% OF ITSELF TO THE PUBLIC

Anthropic announced Sunday that it's committing 5% of its shares to a new entity called the Anthropic Public Benefit Fund, money the company says could go toward large nonprofit donations or "direct distributions to specific populations." The catch sits in the same sentence as the number. It's subject to stockholder approval. At Anthropic's last reported private valuation of about $965 billion, that's roughly $48 billion the owners still have to vote on. The structure comes with an escalator. The board can add another 2% of the company for every 50% increase in Anthropic's value above a set baseline, and Anthropic has not said what that baseline is. It says it will publish the milestones, structure and governance in the coming months. All of this arrives while the company is reportedly lining up an IPO as soon as November, which is a hell of a time to rediscover your values. The fund will be a wholly owned LLC rather than a 501(c)(3), which Anthropic says keeps its giving options flexible, and none of its equity can be used for lobbying or political donations in any country. The pitch is that escalating stock awards normally go to executives, and this one gets pointed at the public instead. Add the co-founders' pledge of 80% of their equity and the employee donation match, and Anthropic says about 20% of its shares are dedicated to the public good. Elon Musk replied on X that he recommends giving the shares directly to the public, then pledged one SpaceX share to every kid in America.

Why you should give a shit: Forty-eight billion dollars aimed at the workers AI might flatten is real money, right up until you notice the 5% only moves if the shareholders vote yes and the top-ups only start above a baseline nobody will name.
